Summary:
To be a trusted advisor and legal business partner to the key stakeholders noted above, with accountability for Group Significant: M&A and other Corporate matters (including global acquisitions, divestments, joint ventures, financial/treasury matters and corporate restructurings) and Commercial matters (procurement contracts, global customer contracts, franchise agreements and material IP).
“Group Significant” means:
- Where such matters are material in context, such as the have a value, consideration, liability, cost, damage or similar that exceeds £1m or where there is otherwise any actual or potential criminal liability or other risk to the reputation of the RI business as a whole.
- Responsible for delivering best practice and useful resources for global M&A and playbooks/best practices for customer and supplier contracting across the group.
- To also provide such regional legal support as required by the Group General Counsel from time to time
- Member of the Group Legal and Company Sec Leadership Team, helping the Group General Counsel to shape and implement the global legal and co sec strategy.
- Responsible for the creation and delivery of a cost effective panel of global law firms (excluding North America) with competitive rates and in line with budget.
- Responsible for the management, development, training and operations of their legal team.
Responsibilities include:
- Management, development and operation of the M&A and corporate legal team and the Commercial legal team, including the delivery of the creation of group wide procedures and precedents to ensure best practice and consistency such as share and asset purchase agreement templates and standard customer terms and conditions
- Delivery of outstanding legal support and business partnering to the finance function, procurement function, IP and M&I function
- Key stakeholder and partner to the regional general counsels on M&A and commercial contracting on Group Significant Matters and acting as a sounding board on matters which are not Group Significant Matters
- Overseeing the management of Investment Committee contract approvals.
- Responsible for creating a global (excluding North America) legal panel of law firms and managing and streamlining the use of external legal providers across the group to drive competitive rates and better value.
- Contributing to the development and implementation of the Group Legal strategy.
- Responsible for the management/creation of a brilliant, high-performing Corporate legal team including developing people, nurturing talent and providing training to enable continuous improvement.
- Member of the Group Legal and Company Secretariat Leadership Team, significantly contributing to the development of the Group Legal strategy, and sharing feedback to this Leadership Team to ensure continuous improvement of the global legal strategy.
- Providing such regional support to regional business as may be required by the Group General Counsel from time to time
- Preparing high quality papers/advice that allow for quick and sound decisions to be made by senior management
- Reporting to the Group General Counsel on Group external legal spend and the performance of the Panel law firms
- Managing external legal counsel on all group corporate matters, including selecting external advisors, negotiating fees, sense-checking legal advice, and ensuring the quality of the service reflects value for money.
- Horizon scanning - keeping informed of upcoming changes in laws and regulations in the M&A/Corporate and Commercial space, briefing stakeholders and planning appropriately, and giving proactive advice on how to comply.
- Engaging with, supporting and obtaining buy-in from the regional legal teams using the services of the Group Corporate team;
- Preparing papers as required for the Board of Directors and its committees and the Investment Committee or conducting legal reviews of such papers.
- Reviewing and providing legal sign off on new lines of business Pink Notes for the group.
Requirements:
- Degree or equivalent from accredited institution; qualified and licensed to practice law in England and Wales.
- Significant progressive and relevant law firm and/or legal department experience.
- Demonstrated in-house experience advising and providing practical solutions to the management of commercial contracts, M&A and other corporate matters.
- Demonstrated leadership ability, team management, interpersonal and communication skills. Must have proven success in leading and mentoring teams.
